3. Client Responsibilities

Clients agree to:

Provide accurate and complete information required to deliver services.
Cooperate with us in a timely manner (e.g., providing access, approvals, and content).
Respect agreed deadlines for payments, communication, and project deliverables.
Refrain from using our services for unlawful, harmful, or fraudulent purposes.

4. Payment Terms

Services may require upfront deposits (typically 2–3 months of retainer fees).
All invoices must be paid on or before the due date specified.
Late payments may result in service suspension or additional fees.
Fees for tools, advertising budgets (e.g., Meta Ads, Google Ads), or third-party costs are the client’s responsibility unless otherwise agreed in writing.

5. Contract Duration & Cancellation

Contracts may be monthly retainers, one-time projects, or annual agreements, as specified in the client’s service proposal.
Early cancellation is permitted with written notice, but refunds are subject to our Refund & Cancellation Policy.
If a client cancels before the agreed contract period ends, partial refunds may apply after deducting fees for services rendered and pre-purchased tools.

6. Results & Guarantees

While we apply proven strategies and best practices, we cannot guarantee specific outcomes (e.g., sales, traffic levels, rankings) due to external factors beyond our control (e.g., algorithm changes, market fluctuations).
However, if a results-based strategy is contractually agreed and the client adheres to the full contract duration, we guarantee the deliverables outlined in that contract.

7. Intellectual Property

All intellectual property, creative assets, and deliverables developed by WISEBUSINESS IT LTD remain our property until full payment is received.
Upon full payment, ownership rights may be transferred to the client as agreed in the contract.
We reserve the right to showcase completed work in our portfolio, case studies, or marketing materials unless a confidentiality agreement prevents this.

8. Limitation of Liability

We are not liable for indirect, incidental, or consequential damages, including lost profits, loss of data, or reputational harm.
Our total liability under any agreement will not exceed the total fees paid by the client for the service in question.

9. Termination

We may suspend or terminate services if:

The client breaches these Terms.
Payments are overdue.
Services are used unlawfully or harmfully.

10. Confidentiality

Both parties agree to keep confidential all proprietary, sensitive, or business information shared during the project.

11. Governing Law & Jurisdiction

These Terms are governed by UK law. Any disputes shall be resolved in the courts of the United Kingdom.

12. Amendments

We may update these Terms from time to time. Updates will be posted on this page with a new “last updated” date. Continued use of our services constitutes acceptance of the revised Terms.
